The purpose of the British Officers’ Cricket Club of Philadelphia is exclusively to foster national and international amateur cricket competition among all ages and background of cricket players, to conduct national and international competition in cricket and to develop amateur cricketers for that competition, under the meaning of section 501(c)3 of the Internal Revenue Code, or corresponding section of any future federal tax code.

1. The name of the club shall be “The British Officers’ Cricket Club of Philadelphia”

2. The colors of the club shall be the colors of The British Officers’ Club

3. Governance of the club shall be vested in an elected Club Committee.

4. The Club Committee shall consist of the President Emeritus during his lifetime, and nine (9) Officers who shall be elected at the Annual General Meeting of the Club. The eight annually elected Officers shall be the President, the Treasurer, the Club Captain, the Secretary and the Directors of: Grounds & Equipment, Youth Cricket, Social Affairs, Web Master and Fixtures & Tours. A quorum shall be six (6) out of the nine (9) elected Officers. Offices of the Club Committee may not be combined under one individual at any election. The President shall have a casting vote in the event of even voting.

5. The responsibilities of the Club Committee shall include, but not be limited to, the Constitution, Membership (including oversight of Article 9 qualification), Treasury, Grounds, Capital and Fundraising Activities, Charitable Donations and Activities, Equipment and Apparel provision, Social and Media activities, Upholding Club Ethics and Discipline, the Appointment of Captains and Vice-Captains of the teams in being at the time (with input from the Club Captain). All meetings shall be minuted and will be made freely available to all members. All members shall have the right to petition any item directly to the Club Committee.

6. Eligibility to stand for Club Committee membership shall require a minimum of three (3) years membership of the BOCC or one (1) year’s active service to the Club. “Active service” is defined as service to the club in a defined off-the-field constitutional office or captaincy role.

7. Membership shall be open, upon payment of appropriate fees, to everyone, at the discretion of the club committee. All members in good standing shall have the right to vote at the General Meeting of the Club.

8. The BOCC will formally support a youth cricket initiative with an executive position (Director of Youth Cricket) to manage day-to-day on the field and off-the-field operations. The youth initiative will be managed like any other key initiative under the constitution.

9. The annual subscription (due by May 1st of each year) and match fees shall be determined from time to time by the Club Committee. Members shall be notified of any change prior to the new season.

10.No reimbursement greater than $200.00 shall be made to any member for any expense on behalf of the club unless prior approval has been given by the President and the Treasurer. The Treasurer shall keep a full record of all transactions and shall present a statement of accounts at each AGM.

11.Proposals to the Club Committee to alter this constitution shall require at least a two-thirds supporting majority at an Annual General Meeting or Extraordinary General Meeting convened for that purpose. Members shall have 14 days notice of General Meetings, the Secretary using his/her best endeavors to ensure that the notice contains details of the major items for discussion. Proposals, signed by the proposer and seconder must be submitted to the Club Secretary a minimum of 10 days before any General Meeting. A final agenda to be circulated 7 days prior to the meeting.

12.In the event of any future dissolution of the British Officers’ Cricket Club of Philadelphia, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)3 of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.
